We are excited
to begin this lucrative partnership with you. In this agreement, we will outline
the terms of our partnership and the expectations for both parties.
About Us
OSN1 Life
Science is a subsidiary of Orgen Nutraceuticals, Inc. Our headquarters are
located in Windsor, Ontario. We offer a line of premium sports nutrition
supplements that are designed to help increase strength, muscle mass,
endurance, and promote general nutrition. OSN1 is a proudly Canadian company-
all products are formulated and manufactured right here in Ontario. All OSN1
products are made in a GMP-certified facility that adheres to strict guidelines
set forth by NSF and Health Canada in order to ensure safety and superior
quality.
What makes OSN1
unique is that we provide functional products with only natural ingredients.
Our products are 100% naturally sweetened and have no artificial colours or
flavours. While most of our competitors use sucralose and acesulfame potassium
as “zero-calorie sweeteners”, we avoid them as they can have damaging effects
on your health.
Our Role
Our role in this partnership is to provide you with quality products that will allow you to reach
your fitness goals, as well as helping you grow your social media following. We
promise to:

Offer you a commission on sales
that you make using an online code

Provide you with OSN1 athletic
gear and merchandise

Promote you on our website and
social media pages
Your Role
Your role in
this partnership will be to promote OSN1 Life Science products to your online followers.
This will include:
- Recommending OSN1 to your followers
as the go-to brand for sports nutrition
- Promoting OSN1 products and
events on your social media pages and website
- Posting links to our website on
your social media posts
- Not promoting or advertising
for any OSN1 competitors for the duration of this agreement
Requirements
In order to be
eligible for the brand ambassador program, you must have a minimum of 1,000
followers on each of your social media accounts, mainly Instagram, Twitter and
Facebook. For the duration of this agreement, we require you to commit to a
minimum of 2 social media posts per week advertising OSN1 products. These posts
must include the OSN1 product being advertised, as well as have the OSN1 brand the logo clearly visible in the image. Posts should reflect the brand in a positive
way. We also ask that you follow OSN1 Life Science on Twitter, Facebook,
LinkedIn and Instagram. Sharing, “liking” and retweeting our posts would be
very much appreciated and we promise to do the same for your posts as well. Finally,
we ask that once per month you recommend your followers join our mailing
list to receive monthly newsletters and coupons for OSN1 products and
merchandise.
We must require
all brand ambassadors and influencers to refrain from making any blog posts,
social media statuses, tweets, comments, image posts or public statements that
promote bigotry, racism, sexism or discrimination based on race, sex, gender,
religion, immigrant status, nationality, disability, sexual orientation or age.
Neither Orgen Nutraceuticals, Inc. nor any of its affiliates, including OSN1
Life Science, endorse or promote any political party, candidate or movement.
You may not have any mention of the company in any social media activity or a blog post that is politically motivated or endorses any social movement.
Commission
Program
We will generate
a personalized coupon/promo code for you to earn a commission from online sales.
You can distribute this code to your clients, friends or social media followers
to use when purchasing products online. You will then receive a 10% commission
off of each sale made with the code. Please note, the commission can be earned on
only the revenue received from product sales, no sales tax or shipping.
Commissions will be paid out at the end of each month. You will have the option
of receiving your commission via Amazon gift card or OSN1 products/merchandise.
Material
Disclosures and Compliance with FTC Guidelines
In order to
comply with FTC guidelines, you must clearly disclose your “material
connection” with OSN1 when publishing posts or statuses about OSN1’s products
or services. This includes that you were given consideration, provided with
certain experiences, or are being paid for a particular service. The disclosure
should be clear and prominent and made in close proximity to any statements
that you make about OSN1 or OSN1 products or services. Please note that this
disclosure is required regardless of any space limitations of the medium (e.g.,
Twitter, where the disclosure can be made via hashtags like #sponsored). Your
statements regarding the company and products should always be factual and
verifiable.
Cancellation
This agreement
maybe terminated by either party at any time, for any reason, or for no reason
at all. In the case of the dissolution of this agreement, the following steps
will be taken:
· OSN1 Life Science will remove
mention or promotion of you from its website and social media pages at the time
of cancellation.
· You will no longer receive
commissions off of online sales made using your sales code.
· You will no longer be eligible
for special/discounted prices for OSN1 products or a free Gold Rush Whey
Protein Isolate each month.
Should you wish
to cancel this agreement and leave the brand ambassador program, please send
your request to [email protected]. We will
confirm the dissolution of this agreement with you in writing.
Final Notes
Both OSN1 Life
Science and you are independent contractors for the purpose of this agreement. This
agreement is not an employment contract, and our partnership is not indicative
of an employee/employer relationship. As such, you are not entitled to company
employment benefits such as paid vacation time or participation in the group
health & dental benefits program. This agreement does not imply or promise future employment with Orgen Nutraceuticals, Inc or any of its
subsidiaries.
Both parties will
agree to the courtesy of maintaining the confidentiality of this agreement and not
disclosing to any third-party sensitive information such as pricing, discounts,
trade processes, trade secrets, product formulations, customer information, or
any other piece of information that would not generally be made public by the
owner of such information.
