Ambassador Program Agreement

This agreement describes the terms and conditions for participation in the UVBrite Ambassador program. In this agreement, the term "Ambassador" refers to you (the applicant). In this agreement, “UVBrite” refers to Sapience Group LLC., a Delaware Corporation, with whom you are entering this agreement. By applying to the UVBrite Ambassador program you are confirming that you have read the agreement and agree to the terms and conditions.

Commissions

For a sale to generate a commission to an Ambassador, the customer must complete the order form and remit full payment for the product. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Ambassador links. Properly coded links are the sole responsibility of the Ambassador. Commissions can be viewed on the Ambassador Dashboard.

Payment

An Ambassador can request a payment when their balance reaches a minimum balance of $25 USD. Payments can be requested every 30 days. Payment processing can take up to 14 days from the request date. Payments will be paid out via PayPal.

Refunds

In the event a customer requests a refund for a transaction for which the Ambassador has earned commissions, any commissions earned on the refund amount will be deducted from the Ambassador’s balance.

Usage and Obligations

Ambassadors are permitted to use the UVBrite brand and marketing resources available in the Ambassadors section of the UVBrite application. Logos and other assets cannot be modified. The Ambassador does not gain any trademark, copyright or any other rights to these materials.

The Ambassador will never imply that they are acting on behalf of UVBrite and will never advertise UVBrite products directly. The Ambassador will never bid for advertisements that compete with UVBrite.

The Ambassador will never represent themselves, UVBrite or their relationship with UVBrite in a false or misleading way.

The Ambassador will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing UVBrite.

Term and Termination

Either party has the right to terminate the agreement immediately without prior notice.

If the Ambassador terminates the agreement, no further commissions from UVBrite will be paid for any past or future customer transactions.

If UVBrite chooses to terminate the agreement, any balance greater than $25 USD will be paid to the Ambassador within 60 days of termination. Balances that are smaller than $25 will be forfeited.

Governing Law

This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of New Jersey, without regard to its conflict of laws rules.

Arbitration

All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of New Jersey. An award of arbitration may be confirmed in a court of competent jurisdiction.

Modification

We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures, and Ambassador Program rules.

PRIVACY STATEMENT 
Protecting your private information is our priority. This Statement of Privacy applies to the http://www.uv-brite.com and Sapience Group LLC and governs data collection and usage. For the purposes of this Privacy Policy, unless otherwise noted, all references to Sapience Group LLC include http://www.uv-brite.com and UVBrite. The UVBrite website is an e-commerce site. By using the UVBrite website, you consent to the data practices described in this statement. 

Collection of your Personal Information 
UVBrite may collect personally identifiable information, such as your name. If you purchase UVBrite's products and services, we collect billing and credit card information. This information is used to complete the purchase transaction. UVBrite may also collect anonymous demographic information, which is not unique to you, such as your age, gender, and household income. We may gather additional personal or non-personal information in the future. 

Information about your computer hardware and software may be automatically collected by UVBrite. This information can include: your IP address, browser type, domain names, access times and referring website addresses. This information is used for the operation of the service, to maintain quality of the service, and to provide general statistics regarding use of the UVBrite website. 

Please keep in mind that if you directly disclose personally identifiable information or personally sensitive data through UVBrite's public message boards, this information may be collected and used by others. 

UVBrite encourages you to review the privacy statements of websites you choose to link to from UVBrite so that you can understand how those websites collect, use and share your information. UVBrite is not responsible for the privacy statements or other content on websites outside of the UVBrite website. 

Use of your Personal Information 
UVBrite collects and uses your personal information to operate its website(s) and deliver the services you have requested. 

UVBrite may also use your personally identifiable information to inform you of other products or services available from UVBrite and its affiliates. UVBrite may also contact you via surveys to conduct research about your opinion of current services or of potential new services that may be offered. 

UVBrite does not sell, rent or lease its customer lists to third parties. 

UVBrite may share data with trusted partners to help perform statistical analysis, send you email or postal mail, provide customer support, or arrange for deliveries. All such third parties are prohibited from using your personal information except to provide these services to UVBrite, and they are required to maintain the confidentiality of your information. 

UVBrite may keep track of the websites and pages our users visit within UVBrite, in order to determine what UVBrite services are the most popular. This data is used to deliver customized content and advertising within UVBrite to customers whose behavior indicates that they are interested in a particular subject area. 

UVBrite will disclose your personal information, without notice, only if required to do so by law or in the good-faith belief that such action is necessary to: (a) conform to the edicts of the law or comply with legal process served on UVBrite or the site; (b) protect and defend the rights or property of UVBrite; and, (c) act under exigent circumstances to protect the personal safety of users of UVBrite, or the public. 

Use of Cookies 
The UVBrite website may use "cookies" to help you personalize your online experience. A cookie is a text file that is placed on your hard disk by a web page server. Cookies cannot be used to run programs or deliver viruses to your computer. Cookies are uniquely assigned to you, and can only be read by a web server in the domain that issued the cookie to you. 

One of the primary purposes of cookies is to provide a convenience feature to save you time. The purpose of a cookie is to tell the Web server that you have returned to a specific page. For example, if you personalize UVBrite pages, or register with UVBrite site or services, a cookie helps UVBrite to recall your specific information on subsequent visits. This simplifies the process of recording your personal information, such as billing addresses, shipping addresses, and so on. When you return to the same UVBrite website, the information you previously provided can be retrieved, so you can easily use the UVBrite features that you customized. 

You have the ability to accept or decline cookies. Most Web browsers automatically accept cookies, but you can usually modify your browser setting to decline cookies if you prefer. If you choose to decline cookies, you may not be able to fully experience the interactive features of the UVBrite services or websites you visit. 

Security of your Personal Information 


UVBrite secures your personal information from unauthorized access, use or disclosure. When personal information (such as a credit card number) is transmitted to other websites, it is protected through the use of encryption, such as the Secure Sockets Layer (SSL) protocol. 


Children Under Thirteen 
UVBrite does not knowingly collect personally identifiable information from children under the age of thirteen. If you are under the age of thirteen, you must ask your parent or guardian for permission to use this website.
