These following terms and conditions apply to individuals who are accessing or using the Program both as a merchant (“we” or “merchant”) and an affiliate (“you” or “affiliate”) who refers customers to use product or service from the merchant.
By participating in the Program, Affiliate agrees to use the Program in the manner specified in, and are bound by, these Terms and Conditions. If you do not agree to these Terms and Conditions in their entirety you are not authorized to register as an Affiliate or participate in the Program in any manner.
1. Approve or Reject of the Registration
We reserve the right to approve or reject ANY Affiliate Program Registration in our sole and absolute discretion. You will have no legal recourse against us for the rejection of your Affiliate Program Registration.
2. Affiliate Links and Coupon
Affiliate link is automatically generated, but you can also generate an affiliate link for a specific product or collection. If a person clicks on someone else’s referral link and then later they click on yours, yours is the one that counts.
Affiliate might or might not be assigned to one coupon code with details and usage clarified on Dashboard. If customer both click on the affiliate link and use coupon code, you will not receive a double commission. If you’re not assigned a branded coupon, then you’re not allowed to promote the coupon.
Affiliate may also advertise merchant website on online channels such as Facebook, Instagram,... or offline classified channel ads, magazines, and newspapers.
3. Commissions and payment
Refer any customer to make a purchase on our website, you will get a commission amount which is calculated based on Commission structure. Commission amount is dependent on order value and not including extra fee (tax, shipping cost,...).
For an Affiliate to receive a commission, you need to specify the payment details on Settings. Payment schedule will be notified on Affiliate Guide page.
Payments will only be sent for transactions that have been successfully completed. Use of the Affiliate Program is subject to a fair use policy which gives merchant the right to review each and every referral order. Status of commission if displayed in Commission tab, any paid commission will be listed on Payment tab. Transactions that result in charge backs or refunds will not be paid out.
4. Marketing tool
We may share promotion media such as banner, logo or specific collection promotion to you through Marketing tool tab. You can download the media or get the HTML embed code in order to share on affiliate channels.
5. Network
If Network tab is activated, affiliate can invite others to become their downline affiliate. If any downline affiliate brings order to merchant shop, upline affiliate will also get network commission which depends on merchant settings.
To invite other affiliates into the system, share network link and any other affiliate who click on that link and sign up will become a downline affiliate.
6. Cookie
We use a cookie to track people who have clicked on your link, so they need to be using cookies for us to track them.
If a person doesn't allow cookies or clears their cookies then we can't track them so can't pay earnings on that person's activity.
Cookies day is said on the Affiliate registration form. The tracking day will start from the time a customer clicks on the affiliate’s link or use the coupon. Within the cookie time, every order made by this customer at merchant website will automatically result in commissions to the affiliate (There’s no need for the customer to click on the affiliate link then).
7. Removal from Referral Program
If an affiliate wishes to be removed from the affiliate program, they can do so by contacting: [email protected]
8. Prohibited Activities.We may reject your application if we determine that your social media or website doesn’t fit with our core values. Including the following; Promotes sexually explicit materials, Violence, illegal activities, discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
9. Pay Per Click Campaigns.
Affiliates that advertise among other keywords or exclusively bid in their pay-per-click campaigns on keywords such as Valhalla Legend, and/or any misspellings or similar alterations of these - be it separately or in combination with other keywords - will be considered trademark violators, and will be terminated from the Program. We will do everything possible to contact the affiliate prior to termination. However, we reserve the right to expel any trademark violator from our affiliate program without prior notice, and on the first occurrence of such pay-per-click bidding behaviour.
10. Coupon Code Websites.
Affiliates are not permitted to submit their Rep Code to discount websites or services. Rep Codes appearing on these websites are subject to change or removal. We reserve the right to expel affiliates who have submitted their Rep Code to such websites, or whose Rep Code appears on these websites.
11. No Tampering.
You agree that you will not modify, circumvent, impair, disable or otherwise interfere with any tracking codes and/or other technology and/or methodology required or made available by Secomapp and/or the Merchant to be used in connection with your use of any offer.
12. Legal Compliance.
All Affiliates must comply with all federal, state/provincial and local regulations within your jurisdiction. This includes applicable governing marketing emails (i.e. CAN-SPAM Act, CASL), and all other anti-spam laws.
13. Termination.
Merchant reserves the right to terminate this Agreement and your participation in the Program at any time and without notice. If fraud or abuse is detected, Merchant shall not be liable to you for any commissions for such fraudulent sales.
14. Discontinued Use.
Upon termination you agree to discontinue use of all links, logos, banners and promotional materials provided to you by Merchant or Secomapp. Affiliates terminated due to malicious publishing tactics may also have commissions revoked and face possible omission from the Secomapp network.
15. Termination of Links.
Secomapp and/or the Merchant may terminate any links associated with any engagement. You must remove said links after being notified of any termination of the corresponding engagement. If links are not so removed, Merchant may redirect or disable such links as it determines in its sole discretion, with or without compensation to you.
Release. I, the Affiliate, hereby grant the Merchant permission to use, exploit, adapt, modify, reproduce, distribute, publicly perform and display, in any form now known or later developed, any photograph, video, review or content related to Valhalla Legend that I or someone acting on my behalf creates and shares on social media or with Valhalla Legend (“Shared Content”), throughout the world, which may include incorporating it into internet websites, online product listings, product packaging, publications, catalogues, brochures, magazines, photo exhibits, videos, products, and/or other media (the “Works”) or commercial, informational, educational, advertising, or promotional materials relating thereto. I acknowledge that I will not receive any compensation for the use of such Shared Content.
I release, and hereby agree to indemnify, defend, and save harmless Merchant, its agents and employees, any and all claims I, or any third party, may have now or in the future for invasion of privacy, right of publicity, copyright infringement, defamation or any other cause of action arising out of the use, exploitation, reproduction, adaptation, distribution, broadcast, performance or display of the Shared Content.
I waive any right to inspect or to approve any Works that may be created using the Shared Content and waive any claim with respect to the eventual use to which the Shared Content may be applied. The Shared Content may be used at the Merchant’s sole discretion, alone or in conjunction with any other material of any kind or nature except that the Merchant will not use the Shared Content for any criminal or illegal purposes or in a manner inconsistent with community standards of decency.
I understand and agree that the Merchant is and shall be the exclusive owner of all right, title, and interest, including copyright, in the Works, and any commercial, informational, educational, advertising, or promotional materials containing the Materials.
I hereby grant Merchant the absolute and irrevocable right and unrestricted permission to use my name, likeness, image and social media in materials used to promote the Program to other potential Affiliates or products to customers.
Modification. We may modify any of the terms and conditions in this Agreement at any time at our sole discretion, with or without notice. Modifications may include, but are not limited to, changes in the payment procedures and Program rules. If any modification is unacceptable to you, your only option is to end this Agreement. Your continued participation in the Program following the posting of the change notice or new Agreement on our site will indicate your agreement to the changes.
Confidential Information. You acknowledge that in connection with your participation in the Program you will be provided with confidential and proprietary data and information from time to time. You agree to keep confidential information, including reports, data and other information provided to you through the Program or otherwise strictly confidential.
